Store Terms and Conditions for Businesses (B2B)

§ 1. General provisions

  1. The Terms and Conditions set out the rules for using the online store for businesses available at b2b.batida.pl (hereinafter: the “B2B Store”) and the rules for placing and fulfilling orders.
  2. The B2B Store is operated by Batida Group sp. z o.o., with its registered office in Warsaw at ul. Łowicka 58/13, 02-531 Warsaw, entered in the register of entrepreneurs of the National Court Register under number 0001238720, NIP 5214163469, REGON 544631950, with share capital of PLN 5,000.00 (hereinafter: “Batida”).

  4. The B2B Store is intended exclusively for businesses within the meaning of Article 43¹ of the Civil Code that make purchases in connection with their business activities, in particular cafés, restaurants, hotels, and companies (hereinafter: the “Customer”).
  5. Purchases for individual customers (consumers) are made at batida.pl under the terms described in separate Online Store Terms and Conditions.
  6. Placing an order, registering an account, or using the B2B Store constitutes acceptance of these Terms and Conditions.

§ 2. Definitions

  1. Business Account - the Customer's account in the B2B Store, created by providing the NIP number, enabling orders to be placed at business prices.
  2. Products - confectionery and bakery products, dishes, beverages, syrups, and other goods offered in the B2B Store, including products with a short shelf life.
  3. Fulfilment Date - the day and time slot selected by the Customer for collection or delivery.
  4. Collection Point - a Batida location indicated in the B2B Store as available for business orders.
  5. Personal collection - collection of the order by the Customer at the selected Collection Point, on the selected Fulfilment Date.
  6. Delivery - delivery of the order using Batida's own transport (refrigerated vehicle) to the address indicated by the Customer, in Warsaw and the surrounding area, within the delivery zones indicated in the B2B Store.
  7. Fulfilment days - days on which Batida fulfils orders; orders are not fulfilled on Sundays or on days indicated in the B2B Store as closed.

§ 3. Business Account

  1. To place orders, the Customer creates a Business Account by providing: company name, NIP number, registered office address, first and last name of the contact person, email address, and telephone number.
  2. Company details may be completed automatically based on the NIP number using public registers (including the Ministry of Finance's Register of VAT Taxpayers). The Customer is responsible for the accuracy and currency of the details.
  3. The Account is active immediately after registration. Batida may block or delete the Account if the information is false, the Customer is not a business, or violates the Terms and Conditions.
  4. The Customer is responsible for the actions of persons to whom they have provided the Account login details.
  5. The Agreement for maintaining the Account is concluded for an indefinite period. The Customer may terminate it at any time by sending a message to sklep@batida.pl.

§ 4. Products and prices

  1. Prices in the B2B Store are net prices for businesses, to which VAT is added at the rate applicable to the relevant product. The gross price is displayed before the order is placed.
  2. Product descriptions include, among other things, ingredients, allergens, weight or number of servings, storage instructions, and a suggestion for the coffee that pairs best with the product.
  3. The recommended retail prices and serving sizes shown with the products are recommendations by Batida only. The Customer determines the final price and serving size.
  4. Product photos are for illustrative purposes only. Products are handmade, so they may differ slightly in appearance from the photos.
  5. The Batida workshop processes, among other things, gluten, milk, eggs, nuts and other allergens; therefore, products may contain traces of them. The Customer is responsible for providing their guests with information about allergens.

§ 5. Orders

  1. An order is placed through the B2B Store by selecting the products, fulfilment method (collection or delivery) and Fulfilment Date.
  2. The order must be placed at least 24 hours before the selected Fulfilment Date, and for products marked “48H” - at least 48 hours in advance. The B2B Store displays only dates available for fulfilment.
  3. The sales agreement is concluded when the order is paid for. The Customer receives confirmation at the provided email address.
  4. Once the order has been paid for, its contents (products, quantities or date) cannot be changed. In exceptional circumstances, the Customer may contact Batida - changes are possible only with Batida's consent.
  5. Batida may refuse to fulfil or cancel an order if its fulfilment is impossible for reasons beyond Batida's control (e.g. lack of raw materials or force majeure). In such a case, it will refund the full amount paid.

§ 6. Payments and invoices

  1. Payment is made in advance, online, when the order is placed, via the payment operator made available in the B2B Store.
  2. VAT invoices are issued using the details provided in the Business Account and sent via the National e-Invoicing System (KSeF).
  3. Invoice corrections are issued in accordance with applicable regulations, including through KSeF.

§ 7. Collection and delivery

  1. The order may be collected in person at the Pickup Point on the selected Fulfilment Date. When collecting the order, the order number or company name must be provided. Collection is free of charge.
  2. Batida provides delivery using its own refrigerated vehicle in Warsaw and the surrounding area, within the zones indicated in the B2B Store. The B2B Store does not offer delivery by courier.
  3. The delivery cost is shown in the cart before the order is placed. Delivery is free for orders from PLN 1,000 net.
  4. The Customer shall ensure receipt of the delivery at the indicated location and within the specified time slot. If the delivery cannot be handed over for reasons attributable to the Customer, Batida may charge the Customer for the cost of the order and delivery.
  5. Upon delivery of the products, the risk of their loss or damage passes to the Customer. The Customer is responsible for storing the products thereafter in accordance with the information provided with the product.

§ 8. Complaints

  1. The Customer should inspect the products upon collection or delivery. Visible damage, shortages, and discrepancies with the order must be reported upon collection or delivery, and no later than on the day of collection or delivery, to sklep@batida.pl, together with a photograph of the product and the order number.
  2. Due to the short use-by date of the products, quality complaints should be submitted immediately, no later than on the day of collection or delivery.
  3. Batida shall consider a complaint within 14 days and, if it accepts the complaint, shall, at Batida’s discretion, redeliver the product, reduce the price, or refund the amount paid.
  4. In relations with Customers who are entrepreneurs, Batida’s liability under the statutory warranty is excluded to the extent permitted by law (Article 558 § 1 of the Civil Code), subject to paragraph 5.
  5. A Customer who is a natural person conducting a sole proprietorship, for whom the agreement is not of a professional nature, may exercise the rights provided for in consumer rights legislation to the extent specified in Article 38a of the Consumer Rights Act. The right to withdraw from the agreement does not apply to perishable products or products with a short use-by date, or products made according to the Customer’s specifications.

§ 9. Liability

  1. Batida’s liability to the Customer under the agreement is limited to the value of the relevant order and does not include loss of profits, to the extent permitted by law.
  2. Batida shall not be liable for improper storage, transportation, or serving of the products after they have been handed over to the Customer.

§ 10. Personal data

  1. Batida is the controller of the personal data of the Customer’s contact persons. The data are processed for the purposes of maintaining the Account, fulfilling orders, issuing invoices, and handling complaints (Article 6(1)(b), (c), and (f) of the GDPR).
  2. Detailed information is available in the Privacy Policy at batida.pl.
  3. Marketing information (newsletter, offers) is sent only with separate, voluntary consent, which may be withdrawn at any time.

§ 11. Electronic services and technical requirements

  1. To use the B2B Store, the following are required: a device with internet access, an up-to-date web browser, and an active email address.
  2. The Customer is prohibited from providing unlawful content.
  3. Reports concerning the operation of the B2B Store may be submitted to sklep@batida.pl.

§ 12. Final provisions

  1. Batida may amend the Terms and Conditions for important reasons (e.g. changes in legislation or changes to the order fulfillment rules). Customers with an Account will be informed of the amendment by email at least 14 days before it enters into force. Orders placed before the amendment shall be governed by the previous Terms and Conditions.
  2. Matters not regulated herein shall be governed by Polish law, in particular the Civil Code.
  3. Disputes shall be resolved by the court having jurisdiction over Batida’s registered office, subject to mandatory provisions of law.
  4. The Terms and Conditions apply from 29.09.2026.
